Terms and Conditions of Gloss Club Program

These terms and conditions (“GlossClub Program Terms”) govern the Gloss Club® program (the “GlossClub Program”) operated by EA Detailer Group and their affiliates (collectively called “EAD”) on behalf of EA Detailer, and their partners. By becoming a member of the GlossClub Program (a “GC Member”) and receiving and redeeming benefits of the GlossClub Program including, without limitation, Glosspoints/stamp®, each GC Member agrees that he/she has:

  • read, understood and accepted these GlossClub Program Terms;
  • read, understood and accepted the Website Terms of Use which are incorporated by reference herein; and
  • provided consent for EA Detailer and their authorized third-party agents to process data that is personal to him/her, and to disclose such data to third parties, in accordance with EA Detailer’s Privacy Statement.

These GlossClub Program Terms supersede all previous terms and conditions of the GlossClub Program. EAD may at any time amend, modify or supplement these GlossClub Program Terms, and continued participation in the GlossClub Program will constitute an EAD Member’s acceptance of any such amendment, modification, or supplementation. GC Members are responsible for remaining knowledgeable of the GlossClub Program Terms and any changes, modifications, or additions to the GlossClub Program.

  1. JOINING THE GLOSSCLUB PROGRAM
    1.1 Eligibility
    The GlossClub Program is a paid membership program and is available to any individual over the age of majority that: (a) possesses the legal authority to agree to the GlossClub Program Terms; (b) resides in a jurisdiction that legally permits participation in the GlossClub Program; (c) provides valid and accurate personal information when enrolling in the GlossClub Program; (d) is not already a member of the GlossClub Program (i.e., does not already have a GC Member account); and (e) has not previously been terminated from the GlossClub Program by EA Detailer.
    1.2 For purposes of the GlossClub Program Terms
    1.2.a. “GC Participating Centres” are detailing centres, automotive wrap, and other transient properties operated under the EA Detailer brands that are owned, managed or franchised by EA Detailer.
    1.2.b. “GC Partner” are other transient entities that are bookable through the EA Detailer Partner Channels

    1. “EA Detailer Partner Channels” are collectively the EA Detailer Websites, the GC Apps, and the EA Detailer Customer Contact Centres
    2. A “EA Detailer Website” is a website operated by or on behalf of EA Detailer
    3. An “App” is a downloadable application operated by or on behalf of EA Detailer in connection with the GlossClub Program including, without limitation, the iPhone and Android versions thereof.

1.3 Enrolment
An individual may apply to enroll in the GlossClub Program by fully and accurately completing an application on the
GlossClub Program website, at a GC Participating Centres, or through another enrolment channel.

1.4 Individual Memberships
All GC Member accounts are individual accounts and no joint accounts are permitted. GlossClub Program benefits are
non-transferable unless explicitly stated otherwise.
1.5 Membership Levels

1.5.a. Regular Membership. The base membership level in the GlossClub Program is Regular.
1.5.b. Glitter Membership, followed by Flashy Membership. A GC Member may choose to purchase either the Glitter or
Flashy Membership.
1.5.c. Black Infinity Membership. Upon reaching certain milestones, a GC Member may earn GC Black Infinity Status. The
requirements for earning this status are listed in Section 8.
1.5.d. Associate Membership. Employees of EA Detailer and GC Participating Partner may only participate in the
GlossClub Program through specially designated associate programs. Information on associate programs will be available
on EA Detailer’s intranet and through other EA Detailer channels.
1.5.e. Corporate Membership. Only individuals are eligible to participate in the GlossClub Program. There are no
corporate memberships in the GlossClub Program.

1.6 Personal Profile
Information provided by a GC Member will be maintained in a personal preference profile. All information provided by a
GC Member in his/her personal profile must be valid and accurate and must be kept current. Any credit card information
included in a GC Member’s profile will be used by GC Participating Centres and GC Partner to guarantee the GC Member’s
service and to apply any charges, unless a different credit card is provided at the time of reservation, at check-in or at
check-out. A GC Member may change his/her credit card authorization for future transactions by changing his/her
information by contacting the Customer Contact Centre. A GC Member must notify EA Detailer if the authorized credit
card is lost, stolen, invalidated or has expired.

1.7 GC Ambassador
Any GC Member who qualifies as a GC Ambassador (as outlined in Section 10.1.a.) may also be eligible to participate in GC
AM as described on the GlossClub Program website under “www.eadetailer.com/ambassador”

2. EARNING GLOSSPOINTS/STAMP

2.1 Earning Opportunities at GC Participating Centres.
2.1.a. Eligible Charges. A GC Member will earn:

i. One base GlossPoint for Eligible Charges at GC Participating Centers for each SGD or the equivalent currency that is incurred and paid for by the GC Member as of the date that Glosspoints/stamp are posted to the GC Member’s
account;
A GC Member may only earn Glosspoints/stamp for Eligible Charges pursuant to one of Section 2.1.a.i

A. “Eligible Charges” are:
(1) charges incurred during a service at a GC Participating Center by a GC Member on his/her folio for up to three
vehicles, including, without limitation:
(a) Eligible Rates for Service;
(b) Retail Products;
(c) Valet/pick-up service; and
(e) Any associated services provided at a GC Participating Center;
provided that the GC Member provides his/her GC Member number at the time of reservation or at check-in and and
pays for the charges. Eligible Charges do not include any complimentary services, GC Awards, GC Promotion Rewards
or any other fees or charges including, without limitation: (A) charges for promotions, meetings or other functions, with the exception of Glosspoints/stamp earned in connection with an Eligible Event; (B) other fees paid including,
without limitation, parking, business center, retail stores, products and services and white fees; and (C) taxes,
gratuities, service charges, mandatory or automatic charges (e.g., Good&Services Tax) and other applicable charges.

B. A “Service” is a service conducted at the same GC Participating Center, purchased by a GC Member who: (A)
provides his/her GC Member number at the time of reservation or at check-in; (B) pays an Eligible Rate or redeems a
GC Award or a GC Promotion Reward for the service; and (C) chooses one of the reserved time slots. A GC Member
may only earn Glosspoints/stamp and Eligible Rewards for up to three vehicles during the membership period.

C. An “Eligible Rate” is the rate a GC Member pays for a service at a GC Participating Center unless:
(1) the service was booked through an operator, group buying website or other third-party channel;
(2) the service was booked at a group rate as part of an event, meeting, conference or organized club, and the GC
Member does not directly pay the GC Participating Centers for such service;
(3) the service was booked at an employee, friends or family rate or at an EA Detailer business rate;
(4) the service was provided complimentary; or
(6) a voucher or third-party award was utilized.

2.1.b. Eligible Events
i. Ability to Earn Glosspoints/stamp for Eligible Events. If any GC Member enters into an agreement with a GC
Participating Center to hold an Eligible Event at a GC Participating Center (“Eligible Event Agreement”), the GC
Member will earn:

A. one base GlossPoint for every $1 SGD (or the equivalent currency) that is incurred and paid for Eligible Event Charges, up to a maximum of 1,000 Glosspoints/stamp per Eligible Event Agreement if he/she is not a Black Infinity Member as of the date that Glosspoints/stamp are posted to the GC Member’s account;

A GC Member may only earn Glosspoints/stamp for Eligible Events pursuant to one of Section 2.1.b.i.(A)
(1) An “Eligible Event” is an event or meeting that is booked by a GC Member who provides his/her GC Member number in the applicable Eligible Event Agreement and is held at a GC Participating Center. An Eligible Event will not include: (a) any booking of service, regardless of the number of services, that is booked in any manner other than under an Eligible Event Agreement, (b) any booking of service on behalf of an employer, client or principal that has elected (whether through an agreement with a GC Participating Center or otherwise) to have Glosspoints/stamp awarded to another individual or entity, (c) any booking of Customer rooms that are complimentary or for meetings, or (d) any event or meeting, or booking of service by:

i. a government employee, official, or someone acting on behalf of a government agency or department booking an
event on behalf of his/her employing entity;
ii. an employee of, or someone acting on behalf of, a state-owned or state-controlled entity (“SOE”) booking an
event on behalf of his/her employing entity;
iii. an intermediary booking an event on behalf of a government entity or SOE; or
iv. an intermediary booking an event on behalf of any government entity (U.S. or non-U.S.) or SOE in Asia Pacific
Centers.

(2) “Eligible Event Charges” are any amounts incurred and paid for an Eligible Event under the applicable Eligible Event
Agreement including, without limitation, all revenue, meeting room rental revenue, and catering revenue that is included
in the Eligible Event Agreement, and excluding charges for services incidentals and for food and beverage that is not
included in the Eligible Event Agreement (e.g. charges at a restaurant within the GC Participating Centers), taxes,
gratuities, and related charges.

ii. Additional Conditions with respect to Earning Glosspoints/stamp for Eligible Events:

A. If the Eligible Event is booked by a GC Member on behalf of his/her employer, principal or client, the GC
Member is responsible for notifying his/her employer, principal or client of any Glosspoints/stamp received in
conjunction with such Eligible Event and for complying with any applicable laws, gift policies and incentive
policies.
B. The GC Member agrees to indemnify and hold harmless EA Detailer from any liability, costs and damages
relating to claims of any third party arising from a failure to disclose the receipt of Glosspoints/stamp or any other
incentives.
Any GC Member who qualifies as a GC Ambassador may also be eligible to participate in GC AM as described in Section
10.1.a and as described on the GlossClub Program website (www.eadetailer.com/ambassador).

2.2 Other GlossPoint Earning Opportunities

2.2.a. Merchandise and Services. A GC Member may earn Glosspoints/stamp by purchasing merchandise or
services from companies that are affiliated with the GlossClub Program including, without limitation, the credit
card companies, car rental companies, airlines and other ground transportation companies listed on the
GlossClub Program website (www.GC.com) under “Partners.” Glosspoints/stamp earned in conjunction with the
purchase of merchandise or services are subject to these GlossClub Program Terms along with any applicable
terms and conditions of the partner.

2.2.b. Transferring Rewards Program Currency into Glosspoints/stamp. A GC Member may transfer Rewards
Program, Credit Card Membership Rewards Program and other Rewards Program currency into
Glosspoints/stamp pursuant to the terms and conditions of the applicable program. EA Detailer may limit the
redemption options available for Glosspoints/stamp earned through transfer.

2.2.c. Buying Glosspoints/stamp. A GC Member may buy Glosspoints/stamp to supplement the GlossPoint
balance in his/her GlossClub Program account. GlossPoint purchases can be made by members whose accounts
have been active for a minimum of 14 days. Accounts that are less than the required 14 days in age will have the
purchase attempt cancelled.

3. REDEEMING GLOSSPOINTS/STAMP

3.1 GC Awards

A GC Member may redeem Glosspoints/stamp to obtain designated awards and benefits (“GC Awards”) including,
without limitation, services at GC Participating Centers, GC Moments experiences and other services and merchandise. A
full listing of current GlossPoint redemption options and their respective terms and conditions is available on the
GlossClub Program website under “Redemption Options.”

3.1.a. Glosspoints/stamp and GC Awards may not be exchanged or redeemed by a GC Member for cash, prizes or
credit unless explicitly stated.

3.1.b. Glosspoints/stamp posted as the result of a transfer or earned from the use of credit cards may not be
redeemable for certain GC Awards.

3.1.c. GC Awards are typically non-transferable, but certain GC Awards may be given to a third party where a GC
Member makes the request at the time the GC Award is issued. In the event that a GC Award is given to a third
party in accordance with the prior sentence, neither the GC Member nor the third party will earn any
Glosspoints/stamp, Eligible Service in conjunction with such GC Award. The customer using the GC Award may be
required at check-in to show proper identification and provide a credit card to the GC Participating Center or GC
Partner Center for incidental charges.

3.1.d. GC Awards believed to have been bartered, sold, exchanged, or issued fraudulently, or issued to someone
other than the eligible GC Member, will be void and will not be honored.

          3.2 Service at Centers

A GC Member may redeem Glosspoints/stamp for services at GC Participating Centers and GC Partner Centers
including, without limitation, for Free Service Awards. A full list of these redemption GC Award options and their
respective terms and conditions is available on the GlossClub Program website under “Redemption Options.”

3.2.a. Redeeming Glosspoints/stamp for service at GC Participating Centers and GC Partner Centers is subject to availability at the time of reservation and advanced reservations may be required.

3.2.b. The standard guarantee and cancellation policies of a GC Participating Center or a GC Partner Center will
apply to GC Award reservations including, without limitation, all minimum spending requirements, credit card
guarantee requirements and charges for late cancellation and no-shows.

3.2.c. Charges for Center services and other incidentals are not included when Glosspoints/stamp are redeemed for
rooms at GC Participating Centers and GC Partner Centers and will be the responsibility of the GC Member.

3.2.d. The amount of Glosspoints/stamp needed to obtain services at GC Participating Centers and GC Partner
Centers varies by the category of the GC Participating Centers or GC Partner Centers and the category of rooms
available at the GC Participating Centers or GC Partner Centers and may also vary by time of year. A list of GC
Participating Centers and GC Partner Centers categories is available on the GlossClub Program website under
“Centers Categories”. EA Detailer may change the category in which a specific GC Participating Centers or GC
Partner Centers is classified at any time.

3.2.e. GC Awards may only be used for up to a total of one Customer car on the same date at the same GC
Participating Centers or GC Partner Centers.

3.2.f. Any GC Awards redeemed by a GC Member for up to one Customer car on the same date at the same GC
Participating Centers or GC Partner Centers will count towards the GC Member reaching milestones needed to
earn Black Infinity, unless the GC Member sends in more than one car on a single date; in which case, such service
will not count towards achieving any milestones required to obtain a GC Promotion Reward.

3.2.g. If a GC Member fails to cancel a guaranteed GC Award reservation within the permitted cancellation time,
the GC Participating Centers or GC Partner Centers will charge the applicable cancellation fee to the credit card
provided by the GC Member at the time the reservation was made and the Glosspoints/stamp that had been
redeemed will be re-deposited into the GC Member’s account. For Free Service Awards only, a GC Member may
request a refund of the applicable cancellation fees charged by forfeiting the portion of the Glosspoints/stamp that
he/she had redeemed for the GC Award necessary to cover the applicable cancellation fees by emailing his/her
request to members@eadetailer.com no later than 7 days after the reservation date, provided that the GC Member
has adequate Glosspoints/stamp in his/her account.

3.2.h. If a GC Participating Centers or GC Partner Centers exits the GlossClub Program for any reason after a GC Member makes a GC Award reservation but before the GC Member’s appointment, EA Detailer will use reasonable efforts to have such former GC Participating Centers or GC Partner Centers honor the reservation or assist in arranging equivalent; however, EA Detailer cannot guarantee that any GC Awards, upgrades or any other benefits that a GC Member may earn under the GlossClub Program will be honored.

3.3 Other Glosspoints/stamp Redemption Options

3.3.a. Instant Awards. A GC Member may redeem his/her Glosspoints/stamp instantly for a variety of Center products and services during his/her appointment at certain GC Participating Centers or in connection with an Eligible Event (collectively, “Instant Awards”). The products and services available for Instant Awards (including, without limitation, in connection with an Eligible Event), and the corresponding Glosspoints/stamp required for redemption, vary by GC Participating Centers. Instant Awards will be fulfilled through a credit reflected on the GC Member’s folio or on the invoice for the Eligible Event. Only Glosspoints/stamp posted to a GC Member’s account by time of check-in for the applicable service or Eligible Event may be used for Instant Award redemptions. Instant Awards may not be used to pay for the rate of any services.

3.3.b. Merchandise Awards. A GC Member may redeem his/her Glosspoints/stamp for merchandise (a “Merchandise Award”) from companies that are affiliated with the GlossClub Program including, without limitation, the companies listed on the GlossClub Program website under “Redeem Glosspoints/stamp.” Glosspoints/stamp redeemed in connection with Merchandise Awards are subject to these GlossClub Program Terms along with any applicable terms and conditions of the partner.

3.3.c. GC Moments. GC Members may use Glosspoints/stamp to bid on experiences and events through the GC Moments online website. More information about experiences and events may be obtained on the GC Moments website

3.3.e. Transferring Glosspoints/stamp to other Loyalty Programs. A GC Member may transfer Glosspoints/stamp to the Rewards Program, or other GlossClub Program affiliate loyalty accounts. Transfers of Glosspoints/stamp may not be rescinded or reversed. Transfers of Glosspoints/stamp may be delayed if they are suspected to be fraudulent. Transfers found to be fraudulent will be voided.

  1. OTHER GLOSSPOINTS/STAMP INFORMATION

4.1 Transferring Glosspoints/stamp to GC Member Accounts

4.1.a. GC Members Who Reside at Same Address. At EA Detailer’s sole discretion, A GC Member may be permitted to transfer Glosspoints/stamp from one GC Member account to another GC Member account under specific conditions. Generally, Glosspoints/stamp may transfer if both GC Members are active, consent to the transfer, and share the same residential mailing address that is not a P.O. Box, APO or SPO address for a minimum of 30 days prior to requesting the transfer. GC Members may be required to provide proof of residency prior to EA Detailer transferring the Glosspoints/stamp between the two accounts. Black Infinity Status and the related benefits will not transfer to the recipient of the Glosspoints/stamp.

4.1.b. Death. In the event of death, EA Detailer may, at its sole discretion, allow unredeemed Glosspoints/stamp to be transferred to a family member or a friend who is an active GC Member upon EA Detailer’s receipt and review of all requested documentation and communications. Black Infinity and the related benefits, including, without limitation, Eligible Service, will not transfer to the recipient of the Glosspoints/stamp.

4.1.c. Divorce. In the event of an adjudicated divorce settlement, EA Detailer may, at its sole discretion, allow unredeemed Glosspoints/stamp to be transferred from one GC Member’s account to another GC Member’s account upon EA Detailer’s receipt and review of all requested documentation and communications including, without limitation, legal documents directing such a transfer of Glosspoints/stamp. Black Infinity and the related benefits, including, without limitation, Eligible Service, will not transfer to the recipient of the Glosspoints/stamp.

4.2 Forfeiting Glosspoints/stamp

Glosspoints/stamp earned or otherwise obtained by a GC Member will forfeit without notice if the GC Member becomes Inactive. A GC Member is considered “Inactive” if during a 12-month period: (a) the GC Member has not had a Service at a GC Participating Center; (b) the GC Member has not earned or redeemed any Glosspoints/stamp; or (c) the GC Member’s account has been cancelled. The forfeiture of Glosspoints/stamp does not apply to GC Members who have achieved Black Infinity Status to whom the obligations in Section 11 apply.

4.3 Fraudulent Activity

If a GC Member suspects or learns of any fraudulent activity related to their GC Member account, including, without limitation, unauthorized redemption or transfer of Glosspoints/stamp, the GC Member must report the fraudulent activity within 60 days of it occurring to a Customer Contact Center. Credit or debit of any Glosspoints/stamp in question to the GC Member will be at EA Detailer’s sole discretion.

  1. GC PROMOTION REWARDS

5.1 Promotions and Special Offers

A GC Member may, from time to time, earn designated rewards and benefits (“GC Promotion Rewards”) including, without limitation, bonus Glosspoints/stamp, Eligible Service at GC Participating Centers and gift cards, by participating in a promotion or a special offer in accordance with its terms and conditions (i.e. achieving milestones within a limited period, registering for the promotion).

5.2 Additional Terms.

5.2.a. For any GC Promotion Rewards that awards multiplied Glosspoints/stamp (e.g., double Glosspoints/stamp) in addition to any Glosspoints/stamp that a GC Member would otherwise earn pursuant to these GlossClub Program Terms, the multiplier applies only to the standard base Glosspoints/stamp that a GC Member would be eligible to earn pursuant to these GlossClub Program Terms without taking into account his/her Black Infinity Membership Status, if any, and the multiplier never applies to bonus Glosspoints/stamp offered as a result of such GC Member’s Black Infinity Membership Status or otherwise. For example, he/she will only be awarded multiplied Glosspoints/stamp pursuant to such GC Promotion Reward based on the amount of Glosspoints/stamp that he/she would have earned pursuant to these GlossClub Program Terms regardless of if he/she were a Black Infinity Member.

5.2.b. GC Promotion Rewards that include a free service may be used for up to a total of one Customer car on the same date at the same Centers that is participating in the promotion, provided that the GC Member that earned such GC Promotion Reward must be the legal owner of car during such event.

5.2.c. If a GC Member redeems GC Promotion Rewards that include free service for up to three Customer cars on the same date at the same Center that is participating in the promotion, he/she will earn Eligible Service for such service for purposes of earning Black Infinity Status if the GC Member owns all the vehicles; however, such services will not count towards achieving any milestones required to obtain another GC Promotion Reward.

5.2.d. Any GC Promotion Rewards including bonus Eligible Services will only count towards such GC Member earning Black Infinity Membership Status, but will not count towards such GC Member earning towards achieving any milestones required to obtain any other GC Promotion Rewards.

5.2.e. EA Detailer may correct GC Promotion Rewards shown as credited to a GC Member at any time.

5.2.f. GC Promotion Rewards may not be exchanged or redeemed for cash, prizes or credit and are typically non-transferable.

  1. EARNING BLACK INFINITY MEMBERSHIP STATUS

6.1 Qualifying Period

The qualifying period for a GC Member to earn Black Infinity Membership Status is from January 1st through December 31st of each year (the “Qualifying Period”). Once a GC Member reach Black Infinity Membership Status, the applicable benefits will commence during that Qualifying Period and continue through February of the second calendar year following such Qualifying Period. For example, if a GC Member meets the Black Infinity Requirement during the 2018 Qualifying Period in Feb, the GC Member will become a Black Infinity Customer for the remainder of 2018, and January and February of 2019.

6.2 Earning Black Infinity Customer Status

To become a “Black Infinity Customer”, a GC Member must have at least accumulated the required Glosspoints/stamp in a Qualifying Period at GC Participating Centers or GC Partner Centers (the “Black Infinity Minimum Requirement”). The Black Infinity Minimum Requirement must be achieved in the subsequent Qualifying Period to remain a Black Infinity Customer during the calendar year following each subsequent Qualifying Period or the GC Member will be downgraded to the pre-purchased Customer level on March 1st of the calendar year succeeding the Qualifying Period.

6.3 Maintenance Black Infinity Customer Status

EA Detailer will determine, at its sole discretion, whether a GC Member has met the requirements to achieve GC Black Infinity Status. Once A GC Member achieves Black Infinity Status, the GC Member is still subjected to meeting the Minimum Requirement in any subsequent Qualifying Period to remain a Black Infinity Customer until the Black Infinity Customer’s account is cancelled.

  1. BENEFITS OF ELITE STATUS

7.1 General

A GC Member will only receive the benefits of Black Infinity Membership Status during a Service at a GC Participating Center (except for any applicable benefits earned in connection with Section 2.1.b. and Section 10). All services, amenities, and benefits of Black Infinity Membership Status are subject to change or substitution at any time without notice. In addition, all services, amenities and benefits are subject to availability and subject to the terms and conditions of each GC Participating Centers. Not all services, amenities and benefits are offered at all GC Participating Centers. EA Detailer may correct benefits shown as available or credited to a GC Member at any time.

7.2 Black Infinity Customer Benefits

Black Infinity Customers will be eligible to receive the benefits listed on the GlossClub Program website under “Membership Benefits” under “Black Infinity.”

7.3 Eligibility For Receiving Black Infinity Customer Benefits

A Black Infinity Customer must pay an Eligible Rate or redeem A GC Award or GC Promotion Reward for each service during his/her entire service at A GC Participating Center to receive Black Infinity Membership Status benefits during his/her appointment. Black Infinity Membership Status benefits are only available in connection with the one Customer car in which the Black Infinity Customer is choosing.

  1. RESTRICTED OPPORTUNITIES FOR PROFESSIONAL MEETING PLANNERS (“GC PRO”)

8.1 GC Ambassador

8.1.a. Qualification as a GC Ambassador. A “GC Ambassador” is a GC Member who meets certain qualifications established and maintained by EA Detailer at its sole discretion including, without limitation, that the GC Member (1) is a Qualified GC Member of the GlossClub Program in good standing pursuant to Section 10.1.b, (2) is a professional with a job title related to planning events and meetings, (3) dedicates all of his/her professional time to resourcing, planning and executing events and meetings, (4) may hold a professional accreditation from a meeting professional organization, and (5) acknowledges that he/she is eligible to earn Glosspoints/stamp for any Eligible Events under applicable laws, gift policies and incentive policies. GC Members are responsible for complying with their own company or organization policies regarding Centers loyalty programs; however, to the extent such policies are inconsistent with these GlossClub Program Terms, these GlossClub Program Terms will govern. GC Members are solely responsible for notifying their employer, principal and/or client of any Points or Miles awarded with GC AM.

8.1.b. A Qualified GC Member includes any member of the GlossClub Program unless he/she is:

i. a government employee, official, or someone acting on behalf of a government agency or department booking an event on behalf of his/her employing entity;
ii. an employee of, or someone acting on behalf of, a state-owned or state-controlled entity (“SOE”) booking an event on behalf of his/her employing entity;
iii. an intermediary booking an event on behalf of a government entity or SOE; or
iv. an intermediary booking an event on behalf of any government entity (U.S. or non-U.S.) or SOE in Asia Pacific Centers.
EA Detailer may deny applications for membership of the GlossClub Program in its sole discretion and without written notice.

8.2 GC Ambassadors may earn Glosspoints/stamp for Eligible Events pursuant to Section 2.1b of these GlossClub Program Terms.

8.3 Forfeiture of Glosspoints/stamp and Eligible Service

At any time and at EA Detailer’s sole discretion (including, without limitation, where a GC Member was not qualified to be a GC Ambassador and therefore was not eligible to earn a specific benefit), EA Detailer may correct (i) the amount of Glosspoints/stamp, or the number of Eligible Services shown as credited to a GC Member, and (ii) any other benefit that has been credited to a GC Member, including, without limitation, any Black Infinity Membership Status.

  1. CANCELLATION OF MEMBERSHIP

9.1 Monitoring GC Member Accounts

EA Detailer reserves the right to monitor the accounts of all GC Members, at any time and without notice, for compliance with GlossClub Program Terms. EA Detailer may review all GC Members’ Glosspoints/stamp, Eligible Services balance and transaction history including, without limitation, requests for GC Awards, GC Promotion Rewards and other benefits.

9.2 Cancelling GC Member Accounts

9.2.a. Cancelling by GC Member. A GC Member may cancel his/her membership in the GlossClub Program at any time by sending written notice of cancellation to the Customer Contact Center. All unredeemed Glosspoints/stamp, GC Awards, and GC Promotion Rewards as well as achieved member status, including Black Infinity, will be forfeited immediately and may not be reinstated or transferred.

9.2.b. Cancelling by EA Detailer. EA Detailer may cancel a GC Member’s accumulated Glosspoints/stamp, suspend GlossClub Program benefits, suspend Black Infinity Membership Status, or cancel a GC Member’s account at any time with immediate effect and without written notice, for any reason and at EA Detailer’s sole discretion including, without limitation, if EA Detailer believes the GC Member has:

i. Acted in a manner inconsistent with applicable laws, regulations, ordinances;
ii. Failed to pay any Centers bill when due to EA Detailer or a GC Participating Centers or GC Partner Centers or failed to fulfill any financial obligation;
iii. Acted in an inappropriate, fraudulent, abusive or hostile manner;
iv. Breached or violated any of these GlossClub Program Terms or the Website Terms of Use;
v. Fraudulently claimed to qualify as a GC Ambassador to be eligible to earn any of the benefits offered to a GC Ambassador pursuant to the GlossClub Program; or
vi. Engaged in any misconduct or wrongdoing in connection with the GlossClub Program including, without limitation, with respect to Glosspoints/stamp, Eligible Services, GC Award usage, GC Promotion Reward usage, or any other GC Member benefits.

9.2.c. Bankruptcy. Subject to applicable law, membership in the GlossClub Program will terminate automatically upon a GC Member filing for bankruptcy or otherwise being subject to a bankruptcy proceeding.

9.2.d. Legal Action. Nothing contained in these GlossClub Program Terms will limit EA Detailer in the exercise of any legal or equitable rights or remedies.

9.3 Effect of GC Membership Cancellation

9.3.a. The GlossClub Program, Glosspoints/stamp, GC Awards, GC Promotion Rewards and other related benefits and services are the sole property of EA Detailer, and are not the property of GC Members. On cancellation of membership in the GlossClub Program for any reason, all unredeemed Glosspoints/stamp, GC Awards and GC Promotion Rewards will be forfeited and a GC Member will no longer be able to participate in the GlossClub Program. Glosspoints/stamp, GC Awards and GC Promotion Rewards have no cash value and EA Detailer will not compensate or pay cash for any forfeited or unused Glosspoints/stamp.

9.3.b. If EA Detailer cancels a GC Member’s account for any reason, the GC Member may not reapply for membership in the GlossClub Program and any account opened in the GC Member’s name and Glosspoints/stamp, GC Awards and GC Promotion Rewards earned in that account will be forfeited upon discovery.

9.3.c. If a GC Member cancels his/her account, or if a GC Member account becomes Inactive, the GC Member may reapply for membership in the GlossClub Program at a later date, but no Glosspoints/stamp, GC Awards or GC Promotion Rewards previously expired will be reinstated to the GC Member account and any Black Infinity Membership Status will not be reinstated.

9.3.d. Any Black Infinity Membership Status, GC Lifetime Gold Status and GC Lifetime Platinum Status terminates upon cancellation of a GC Member account.

  1. OTHER PRINCIPLES

10.1 Modification of the GlossClub Program

EA Detailer may change the GlossClub Program and the GlossClub Program Terms at any time, for any reason and without notice. EA Detailer may make changes that affect, without limitation, processes, benefits, amenities, elite levels, rules for earning and redeeming Glosspoints/stamp, GlossPoint redemption levels, rules for the use of GC Awards, availability of GC Awards, GC Award inventory, GC Award types, availability of GC Promotion Rewards, and benefits of Black Infinity Membership Status. Notwithstanding the foregoing, EA Detailer will provide notice if changes to the GlossClub Program or the GlossClub Program Terms materially decrease the number of Glosspoints/stamp a GC Member will earn for Eligible Rates and Eligible Charges at GC Participating Centers or materially increases the number of Glosspoints/stamp a GC Member needs to redeem Glosspoints/stamp for rooms at GC Participating Centers.

10.2 Termination of the GlossClub Program

EA Detailer may terminate the GlossClub Program with 1-month notice to all active GC Members. At EA Detailer’s sole discretion, EA Detailer may choose to substitute a similar loyalty program for the GlossClub Program at any time immediately upon notice to active GC Members. A GC Member may not accumulate Glosspoints/stamp or claim GC Awards, GC Promotion Rewards or GlossClub Program benefits or amenities after the termination of the GlossClub Program. If the GlossClub Program is terminated, all unredeemed Glosspoints/stamp will be forfeited without any obligation or liability, and no GC Award claims or GC Promotion Reward claims will be honored after the conclusion of the notice period. EA Detailer may terminate the GlossClub Program in whole or in part, in any jurisdictions on less than one months’ notice if required to do so by applicable law.

10.3 Benefits Subject to Availability and Modification

All GlossClub Program benefits, amenities, offers, awards and services are subject to availability and may be changed at any time without notice.

10.4 Eligibility to Receive Benefits

By accepting any GlossClub Program benefits, amenities, offers, awards or services, including, without limitation, any Glosspoints/stamp, GC Awards and or GC Promotion Rewards, a GC Member acknowledges that he/she is responsible for determining whether he/she is eligible to receive, and that he/she is eligible to receive, such GlossClub Program benefits, amenities, offers, awards or services (including, without limitation, Glosspoints/stamp, GC Awards or GC Promotion Rewards) under applicable laws, gift policies and incentive policies. Each GC Member must immediately notify EA Detailer if he/she is not eligible to receive any GlossClub Program benefits, amenities, offers, awards or services at any time.

10.5 Adjustments

A GC Member may request credits for Glosspoints/stamp (other than for Glosspoints/stamp earned pursuant to Section 2.1.b.), Eligible Services (other than Eligible Services earned pursuant to Section 6.3) that are not reflected in a GC Member’s account through the GlossClub Program website under “Get Credit” or, for GC Participating Centers only, by contacting the Customer Contact Center. A GC Member may request credits for Glosspoints/stamp or Eligible Services earned in connection with an Eligible Event that are not reflected in a GC Member’s account through the GlossClub Program website (www.eadetailer.com/members) under “Report a Missing Event” or by contacting the Customer Contact Center. Such a request must be received within 1 year of the Eligible Charge or Partner Eligible Charge transaction to receive any credit.

10.6 New GC Members

A new GC Member will be eligible to receive Glosspoints/stamp for Eligible Charges and Eligible Services for Appointments at GC Participating Centers, that are incurred and paid for by the GC Member during the 30 days prior to his/her enrollment in the GlossClub Program (the “Pre-Enrollment Period”), if such credit is requested within 60 days of the applicable Appointment or Eligible Charge transaction. A new GC Member will not receive any Glosspoints/stamp, Eligible Services for any appointment that occurred prior to Pre-Enrollment Period, even if he/she was a member under a loyalty program offered by EA Detailer other than the GlossClub Program, except for Appointments at GC Participating Centers that are incurred and paid for during the Pre-Enrollment Period.

10.7 Appointments in Excess of 90 days

A GC Member will not receive any Glosspoints/stamp on any Eligible Charges, any Partner Eligible Charges, any Eligible Services or any Eligible Appointments for any portion of a single Appointment or single Partner Appointment in excess of 90 days. A GC Member may not earn Glosspoints/stamp pursuant to Section 2.1.a. or Eligible Appointments for appointments at GC Participating Centers in which the GC Member was not the registered Customer, did not appointment at GC Participating Centers, or did not pay the folio upon check-out. A GC Member may not earn Glosspoints/stamp pursuant to Section 2.2.a. or Eligible Appointments for appointments at GC Partner Centers in which the GC Member was not the registered Customer, did not appointment at GC Partner Centers, or did not pay the folio upon check-out.

10.8 Eligibility Notification

A GC Member must promptly notify EA Detailer in the event that (i) he/she is not eligible for any reason, including, without limitation, pursuant to any applicable laws, gift policies or incentive policies, to earn Glosspoints/stamp, Eligible Services or Eligible Appointments, or any other benefits that a GC Member may earn under the GlossClub Program or (ii) his/her GC Member account has been credited with any Glosspoints/stamp, Eligible Services or Eligible Appointments or any other benefit that a GC Member may earn under the GlossClub Program that he/she has not earned or is not eligible to earn.

10.9 Correction of Benefits

At any time and in EA Detailer’s sole discretion (including, without limitation, where a GC Member was not eligible to earn a specific benefit pursuant to these GlossClub Program Terms), EA Detailer may correct (i) the amount of Glosspoints/stamp or the number of Eligible Services or Eligible Appointments shown as credited to a GC Member’s account, and (ii) any other benefit that has been credited to a GC Member’s account, including, without limitation, any Black Infinity Membership Status

10.10 Exit of GC Participating Centers

If GC Participating Centers or GC Partner Centers exit the GlossClub Program for any reason, a GC Member will not earn Glosspoints/stamp, Eligible Services or Eligible Appointments (including, without limitation, any Glosspoints/stamp or Eligible Appointments pursuant to Section 2) for appointments at such GC Participating Centers or GC Partner Centers, and any GC Promotion Rewards, GC Awards, other promotions and other special offers will no longer be valid after the date on which the GC Participating Centers or GC Partner Centers exited the GlossClub Program , even if the reservation for an appointment at the former GC Participating Centers or former GC Partner Centers was made prior to that date.

10.11 No Sale or Transfer

Glosspoints/stamp, GC Awards, GC Promotion Rewards and other GC Member benefits may not be sold, bartered or transferred (other than by EA Detailer or its agents). Any attempted transfer, sale or barter will be void. EA Detailer and its partners may refuse to honor or recognize any Glosspoints/stamp, GC Awards, GC Promotion Rewards or GC Member benefits which EA Detailer believes may have been transferred, sold or bartered.

10.12 Membership Communications.

10.12.a. All GlossClub Program communications will be sent to the GC Member’s mailing address or email address currently provided in the GC Member’s account. Communications delivered to the address on file will be deemed to have been received one business day after sending it if delivered to the GC Member’s email address or five business days after sending it if delivered to the mailing address provided. GC Members must keep their email and mailing addresses current.

10.12.b. GC Members will receive regular Glosspoints/stamp balance report by email, provided that there has been a transaction on the GC account since the last Glosspoints/stamp balance report and the GC Member has provided EA Detailer with the appropriate permission to contact the GC Member via email.

10.12.c. EA Detailer may also send GC Members promotions, offers and other communications from time to time, which may include, without limitation, items from third parties. The items from third parties are based on the information provided to EA Detailer by the GC Member and any additional data EA Detailer may maintain. GC Members may change personal details and communications preferences at any time by contacting the Customer Contact Center or through the GlossClub Program website (www.GC.com); however, EA Detailer may require a GC Member to send supporting documentation prior to allowing certain changes (e.g., legal name changes).

10.12.d. At any time a GC Member contacts the Customer Contact Center, EA Detailer may ask the GC Member certain security related questions to verify the GC Member’s identity. The Customer Contact Center may monitor or record telephone calls to improve quality of service.

10.12.e. GC Members can review their Glosspoints/stamp balance and transaction history and update personal details and preferences on the GlossClub Program website (www.eadetailer.com/members). A GC Member’s number or his/her user name and password is required to access the website.

10.13 Taxes

Glosspoints/stamp, GC Awards, GC Promotion Rewards and other GC Member benefits may be subject to income or other taxes. The GC Member is responsible for paying all such taxes and for making all applicable disclosures to third parties including, without limitation, the party who paid for the transaction from which the GC Member earned Glosspoints/stamp. EA Detailer will not be liable for any tax liability, duty or other charges in connection with the issuance of Glosspoints/stamp, GC Awards, GC Promotion Rewards and other GC Member benefits.

10.14 No Warranties or Representations, Express or Implied

EA Detailer makes no warranties or representations, either expressed or implied with respect to type, quality or fitness of goods or services provided through the GlossClub Program or by GC Participating Centers or by GC Partner Centers.

10.15 Operation of the GlossClub Program

EA Detailer sells Glosspoints/stamp to GC Participating Centers and partners, redeems Glosspoints/stamp for cash (including, without limitation, Glosspoints/stamp received from GC Participating Centers), event tickets and merchandise, and administers the GlossClub Program. EA Detailer and its affiliates promote the GlossClub Program including, without limitation, by creating and launching marketing campaigns, developing and maintaining the GlossClub Program website (www.eadetailer.com/members), and managing partner relationships.

10.16 Not Responsible for Acts, Errors, or Omissions

EA Detailer is not responsible for: (a) any loss or misdirection of, or delay in receiving, any GC Member application, correspondence, redemption requests, GC Awards or GC Member benefits; (b) theft or unauthorized redemption of Glosspoints/stamp or GC Awards or use of a GC Award; (c) any acts or omissions of third parties (including, without limitation, GC Participating Centers and GC Partner Centers); or (d) any errors published in relation to the GlossClub Program , including, without limitation, any pricing or typographical errors, errors of description, errors regarding GC Participating Centers, GC Partner Centers and GlossClub Program affiliates, and errors in the crediting or debiting of Glosspoints/stamp from GC Member accounts. EA Detailer reserves the right to correct, without notice, any errors.

10.17 Interpretation of GlossClub Program Terms

All interpretations of these GlossClub Program Terms and the rules of GlossClub Program membership will be at EA Detailer’s sole discretion, and EA Detailer’s decisions will be final. In the event of any discrepancy between the English version and any translated version of these GlossClub Program Terms, the English language version will prevail.

10.18 Trademarks

EA Detailer, EADxpress, EADGo, EXO, AutoStrato, CarDere, CeraZ, InVisGard and their logos are the trademarks of EA Detailer or its affiliates, and GC Members shall never, directly or indirectly, interfere with, challenge, file applications for, or claim ownership to these trademarks anywhere in the world.

10.19 Waiver

EA Detailer’s waiver of any breach of these GlossClub Program Terms by any GC Member will not constitute a waiver of any other prior or subsequent breach of these GlossClub Program Terms. EA Detailer’s failure to insist upon strict compliance with these GlossClub Program Terms by any GC Member will not be deemed a waiver of any rights or remedies that EA Detailer may have against that, or any other, GC Member. EA Detailer may waive compliance with these GlossClub Program Terms in its sole discretion and may run promotions from time to time that provide enhanced benefits to select GC Members.

10.20 Limitation of Liability

IN NO EVENT WILL EA DETAILER, ANY GC PARTICIPATING CENTERS OR ANY GC PARTNER CENTERS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THE GLOSSCLUB PROGRAM OR THESE GLOSSCLUB PROGRAM TERMS.

10.21 Choice of Law and Venue

Any disputes arising out of or related to the GlossClub Program or these GlossClub Program Terms will be handled individually without any class action, and will be governed by, construed and enforced in accordance with the laws of the Republic of Singapore, without regard to its conflicts of law rules. The exclusive jurisdiction for any claim or action arising out of or relating to these GlossClub Program Terms or the GlossClub Program may be filed only in the state or federal courts located in the Republic of Singapore.

10.22 Subject to Law

Membership in the GlossClub Program and the earning and redeeming of Glosspoints/stamp are subject to all applicable local laws and regulations. Membership in the GlossClub Program, GC Member benefits, GC Awards and GC Promotion Rewards are offered in good faith; however, they may not be available if prohibited or restricted by applicable law or regulation in Singapore or GC Member’s jurisdiction of residence. If any part of these GlossClub Program Terms is held to be unlawful or unenforceable, that part will be deemed deleted from these GlossClub Program Terms in such jurisdiction and the remaining provisions will remain in force, subject to Sections 10.1 and 10.2.

10.23 Entire Agreement. The GlossClub Program Terms, together with those incorporated herein or referred to herein constitute the entire agreement between EA Detailer and GC Members relating to the subject matter hereof, and supersedes any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on the GlossClub Program website (www.eadetailer.com/members).
